These Terms and Conditions apply to the sale of all Goods supplied by the Seller to the Buyer. No other terms, statements, or representations, written or oral, shall be binding unless agreed to in writing by both parties.
The Goods shall be standard and/or modified 20-foot, 40-foot, and office shipping containers, available in new or used condition, as detailed in the Buyer’s Purchase Order.
The Seller warrants that the Goods are free from structural defects for a period of 2 days from the date of delivery. This warranty does not cover any damage or defect caused by improper use or modifications by the Buyer.
Both parties agree to comply with all applicable laws and regulations in relation to the purchase, sale, and transport of the Goods.
The Seller’s liability under this agreement shall be limited to the replacement of the Goods or refund of the purchase price. In no event shall the Seller be liable for any indirect, special, or consequential damages.
The Seller is not liable for any failure to deliver the Goods arising from circumstances outside the Seller’s control. If such circumstances occur, the Seller will notify the Buyer and take steps to minimize the impact of the delay.
Any disputes arising out of or in connection with this agreement shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules.
This agreement constitutes the entire agreement between the parties. No amendment or modification of this agreement shall be valid unless in writing and signed by both parties.
