1. Definitions

“Seller” refers to Conex USA.
“Buyer” refers to any entity purchasing goods from the Seller.
“Goods” refers to shipping containers as specified in the Purchase Order.

2. General

These Terms and Conditions apply to the sale of all Goods supplied by the Seller to the Buyer. No other terms, statements, or representations, written or oral, shall be binding unless agreed to in writing by both parties.

3. Description of Goods

The Goods shall be standard and/or modified 20-foot, 40-foot, and office shipping containers, available in new or used condition, as detailed in the Buyer’s Purchase Order.

4. Price and Payment

The price per unit shall be specified in the Purchase Order.
Payment is due within 30 days of the invoice date, payable by bank transfer or credit card.
Payment of the total purchase price is required at the time of order.

5. Delivery

Delivery terms are FOB (Free On Board) Shipping Point.
The Seller will arrange for the Goods to be ready for pickup at the specified location on the agreed date.
Risk of loss passes to the Buyer once the Goods are loaded onto the transport vehicle at the shipping point.

6. Warranties

The Seller warrants that the Goods are free from structural defects for a period of 2 days from the date of delivery. This warranty does not cover any damage or defect caused by improper use or modifications by the Buyer.

7. Compliance with Laws

Both parties agree to comply with all applicable laws and regulations in relation to the purchase, sale, and transport of the Goods.

8. Limitation of Liability

The Seller’s liability under this agreement shall be limited to the replacement of the Goods or refund of the purchase price. In no event shall the Seller be liable for any indirect, special, or consequential damages.

9. Force Majeure

The Seller is not liable for any failure to deliver the Goods arising from circumstances outside the Seller’s control. If such circumstances occur, the Seller will notify the Buyer and take steps to minimize the impact of the delay.

10. Dispute Resolution

Any disputes arising out of or in connection with this agreement shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules.

11. Cancellation and Returns

Cancellations must be made in writing at least 30 days prior to the scheduled delivery date.
Returns are accepted only if the Goods are in their original condition and the Buyer bears the cost of returning the Goods.

12. Miscellaneous

This agreement constitutes the entire agreement between the parties. No amendment or modification of this agreement shall be valid unless in writing and signed by both parties.
